Terms of Service
Effective 7 October 2026
These terms govern use of the MarinaBioLab qPCR validation platform: the workbench at www.mblvalidation.com, the client portal at portal.mblvalidation.com, our owner console and the services behind them (the “Service”). The Service is operated by Marinabiolab LLC (“MarinaBioLab”, “we”, “us”), 3009 Quail Run Dr, Round Rock, TX 78681. By signing in or using the Service you agree to these terms on behalf of yourself and the organization you represent.
1. The Service
The Service supports qPCR assay validation and laboratory build engagements that MarinaBioLab performs for its clients. Laboratory staff use the workbench to plan validations, analyze instrument exports and prepare reports. Clients use the portal to review proposals, sign agreements, complete checklists, follow progress, see payment status and download their deliverables. The specific work, price and schedule for an engagement are set out in the proposal or statement of work you sign; if that agreement conflicts with these terms, the signed agreement controls.
2. Accounts
Access is by invitation. Each person needs their own account. The sign-in pages use a one-time code or link sent to your work email. Keep access to that mailbox secure, do not share accounts, and tell us promptly at accounting@marinabiolab.com if you believe your account has been misused. Your organization is responsible for who it asks us to invite and for removing people who should no longer have access.
3. Your data
You keep ownership of the laboratory data and documents you provide. You grant us the rights needed to store, process and analyze them to perform the engagement and operate the Service, as described in our Privacy Policy. You confirm you have the right to provide that data. The Service is designed for assay validation data and is not intended to receive patient-identifying health information; do not upload it unless we have agreed to that in writing.
4. Scientific results and reports
Calculations, draft reports and suggestions from the Service, including from its AI co-pilot, are aids to qualified review. A result or report counts as final only after it has passed MarinaBioLab’s scientific review and approval and been released to you. Your laboratory remains responsible for its own procedures, regulatory obligations and the decision to put an assay into use.
5. Electronic signatures and records
You agree that agreements and approvals signed electronically through the Service, or through DocuSign when we send a document that way, are binding as if signed by hand, and that the electronic records the Service keeps of them are valid records of the transaction.
6. Payments
Fees, payment terms and payment instructions are those in your signed agreement. The Service supports Shopify checkout for validation engagements and Intuit QuickBooks invoice and payment tracking for Lab Builds when those integrations are enabled. Payment details are entered with the payment provider, not in the Service. The portal records payment status for the engagement, and some steps of an engagement start only after the related payment is received.
7. Acceptable use
Do not attempt to access another organization’s data, probe or disrupt the Service, get around its security or access controls, or use it in violation of law. We may suspend access that puts the Service or other clients at risk, and will tell you why where we can.
8. Third-party services
The Service relies on providers listed in our Privacy Policy, such as hosting, payment and signature services. Their own terms apply to your direct use of them, and we are not responsible for their outages or acts outside our control.
9. Warranties and liability
Except as stated in your signed agreement, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. To the fullest extent permitted by law, MarinaBioLab is not liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data, and our total liability arising from the Service is limited to the fees you paid us for the engagement in the twelve months before the claim.
10. Ending use
You may stop using the Service at any time; obligations under a signed agreement continue as that agreement provides. We may end access when an engagement ends or if these terms are breached. Records we must keep, such as signed agreements, audit records and released reports, are retained as described in the Privacy Policy.
11. Governing law
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Williamson County, Texas, and you consent to their jurisdiction.
12. Changes and contact
